Terms of Service

These terms govern your use of the Odomotive service, provided by PathMarkr LLC, a Tennessee limited liability company.

About these Terms

These Terms of Service (the “Terms”) are a legal agreement between you (or the organization you represent) and PathMarkr LLC, doing business as Odomotive (“Odomotive,” “we,” “us,” or “our”), a Tennessee limited liability company located in Franklin, Tennessee.

By creating an account, accessing the Odomotive dashboard, sending or receiving SMS messages with Odo, receiving phone calls placed by our voice AI on your behalf, or otherwise using any feature of the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

If you don’t agree, please don’t use the Service. If you’re entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

Description of the Service

Odomotive is a fleet-maintenance platform for commercial vehicle operators. The Service connects to your telematics provider (such as Geotab) using credentials you supply, watches for fault codes, odometer readings, engine hours, battery voltage, and engine coolant temperature thresholds across your monitored fleet, and surfaces maintenance recommendations.

When you approve an action, Odomotive can (a) text you and authorized users on your team with status updates and prompts, and (b) place outbound phone calls to repair shops on your behalf using an AI voice agent named “Odo” to schedule service and coordinate appointments.

The Service’s capabilities, features, and supported integrations may change over time. We’ll provide reasonable advance notice of any material reduction in functionality on a paid plan, and we may add features without notice.

Eligibility & Account

You must be at least 18 years old and authorized to act for the fleet whose data you connect. The Service is intended for business use by commercial vehicle operators; it isn’t intended for consumers, minors, or personal use.

You’re responsible for the accuracy of the information in your account and for keeping your login credentials confidential. Notify us immediately at justin@odomotive.com if you suspect any unauthorized access. You’re responsible for activity that happens under your account, whether or not you authorized it.

You may invite additional users (managers, dispatchers, drivers) to your tenant. You’re responsible for their conduct on the Service and for ensuring they comply with these Terms.

Subscription, Billing & Cancellation

The Service is offered on monthly or annual subscription plans. Fees are described on our pricing page and confirmed at checkout. Unless otherwise noted, all fees are in U.S. dollars and exclusive of taxes; you’re responsible for any sales, use, or value-added taxes.

Subscriptions auto-renew at the end of each billing period. You can cancel at any time from the dashboard; cancellation takes effect at the end of your current paid period, and you won’t be charged again after that. Fees already paid are non-refundable except where required by law or where we offer a written guarantee.

If we’re unable to charge your payment method, we may suspend the Service after reasonable notice. We may change subscription prices for new billing periods with at least 30 days’ notice; your continued use of the Service after the new price takes effect is your acceptance of the change.

Customer Data & Your Fleet

You retain all rights in the data your fleet generates, including telematics data we pull on your behalf (fault codes, odometer readings, engine hours, battery voltage, engine coolant temperature, vehicle identifiers, and event-triggered geofence timestamps), service history you import, and the contents of SMS or voice conversations with Odo (collectively, “Customer Data”).

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, modify (in formatting and structure only), and process Customer Data solely as needed to provide the Service to you. We don’t sell Customer Data. We don’t use it to train third-party AI models, and we don’t use it to market other products to your end-users.

SMS Messaging Terms

Odomotive sends and receives SMS text messages to coordinate fleet maintenance. This section sets out the terms specific to those messages and applies in addition to the rest of these Terms.

6.1 Consent (opt-in)

Odomotive only sends SMS to a U.S. mobile number that has affirmatively opted in. Different numbers go through different opt-in paths:

Owners and team members on your account: When you (or a user you invite) provide a U.S. mobile phone number through onboarding or in profile settings, you expressly consent to receive recurring SMS messages from Odo at that number for fleet maintenance alerts, booking prompts, confirmation prompts, and replies to messages you send.

Drivers added by your fleet manager: When a fleet manager saves a driver phone number on a vehicle, Odomotive sends that number a one-time confirmation SMS that identifies the fleet, describes the messaging program, and asks the driver to reply YES to confirm. The driver is not enrolled and we send no further SMS to that number until the driver themselves replies YES. The driver can reply STOP at any time to opt out that specific number, including in response to the initial confirmation prompt.

Consent isn’t a condition of purchase. You can use the Service without enrolling any number in SMS — you’ll lose the SMS-based workflows.

6.2 Message frequency

Message frequency varies based on your fleet’s activity. A typical fleet manager receives between 1 and 15 messages per week. During high-activity periods (multiple fault events, several vehicles in service at once) you may receive more.

6.3 Message and data rates

Message and data rates may apply. We don’t charge you for SMS, but your mobile carrier may charge you for sending and receiving text messages depending on your plan.

6.4 Opt-out (STOP)

You can opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any SMS from Odo. We’ll send a one-time confirmation that you’ve been unsubscribed and stop sending further SMS to that number. You may continue to receive non-SMS notifications (in-app, email) from the Service.

To re-enroll after opting out, reply START or UNSTOP, or update your phone number in your account settings.

6.5 Help (HELP)

For help, reply HELPto any SMS from Odo and we’ll send a message with a brief summary of what Odo can do and how to reach a human. You can also email justin@odomotive.com at any time.

6.6 Supported carriers

The Service supports SMS to and from U.S. mobile numbers on all major carriers including AT&T, T-Mobile, Verizon, US Cellular, and their associated MVNOs. Carriers are not liable for delayed or undelivered messages.SMS is a best-effort delivery medium; we don’t guarantee that any individual message will be delivered on time or at all.

6.7 Mobile information privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All other categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. 6.8 Drivers added by your fleet manager

This section governs phone numbers added to the Service by a fleet manager on behalf of a driver (e.g., by saving the driver’s number to a vehicle). PathMarkr LLC and the fleet manager share responsibility for compliance with the TCPA, CTIA Messaging Principles, and carrier rules:

  • Fleet manager represents: the phone number provided belongs to a driver assigned to the vehicle, the driver has been informed that the fleet uses Odomotive for maintenance SMS, and the driver is on notice that the number will receive a confirmation SMS.
  • Odomotive will: send a single, clearly-identified confirmation SMS containing the program name, sender identity (Odomotive / PathMarkr LLC), STOP and HELP instructions, frequency and rates disclosures, and an explicit YES-to-confirm prompt; suppress all further SMS to that number unless and until the driver replies YES.
  • Driver controls:the driver can opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT. STOP is honored per-number and survives across vehicles — a number that has opted out will not receive further SMS even if the manager re-saves it to a different vehicle. The manager may reset opt-out only by removing and re-adding the number, which triggers a fresh confirmation prompt.

Odomotive retains the consent audit trail (timestamp of the confirmation prompt sent, Twilio message ID, timestamp and verbatim text of the driver’s YES reply, timestamp and reason for any opt-out) for as long as the underlying account is active and for at least four years thereafter, consistent with TCPA defense practice.

Voice Calls (Odo)

When you approve a booking, Odomotive may place outbound voice calls to repair shops on your behalf using an AI voice agent (“Odo”). These calls are placed from a phone number associated with your account.

7.1 You authorize the calls

By approving a booking that initiates an outbound call, you authorize PathMarkr LLC and its voice-AI subprocessor to place a phone call to the shop’s published business number on your behalf, identify the call as being placed for your fleet, and book service for one of your vehicles.

7.2 Recording disclosure

Calls placed by Odo may be recorded and transcribed for quality, training, and auditability. Odo discloses that the call may be recorded at the start of every outbound call, satisfying single-party-consent recording laws in all U.S. states; in two-party-consent states, the recording proceeds only after the called party acknowledges or continues the call after the disclosure.

Default disclosure text: “This call may be recorded for quality and accuracy.” You can customize the disclosure language in your tenant settings.

7.3 No marketing calls

Odo only calls businesses you’ve added as preferred shops or that we route to via approved partner networks (e.g., RepairPal). Odo doesn’t place consumer marketing or solicitation calls. The Service isn’t intended to be used to call residential numbers, numbers on the national or state Do-Not-Call registries, or any number not associated with a repair shop you’ve authorized.

7.4 TCPA compliance

You agree not to use the Service in any manner that would violate the Telephone Consumer Protection Act (47 U.S.C. § 227), the Do-Not-Call rules (16 C.F.R. Part 310), or any state equivalent. You represent that the shop phone numbers you connect to Odomotive are business numbers used for the purpose of scheduling commercial vehicle service, and that we’re permitted to place calls to them on your behalf for that purpose.

7.5 Call recording retention

Call recordings and transcripts are retained for 90 days for audit purposes, then deleted from primary storage. You may request earlier deletion of a specific call recording at any time.

Acceptable Use

You agree not to (and not to permit anyone using your account to):

  • Use the Service for any purpose that is unlawful, fraudulent, deceptive, harassing, threatening, defamatory, obscene, or that infringes any third party’s rights.
  • Use the SMS or voice features to send messages or place calls to anyone who hasn’t given the required consent under applicable law. For driver phones added on your behalf, you represent that the driver belongs to your fleet and has been informed of the messaging program before you save the number; you remain responsible for any claim by a driver that they did not authorize the confirmation prompt.
  • Use Odo to discuss or transact in prohibited categories including high-risk financial services, debt collection, illegal drugs, firearms, gambling, sexually explicit content, or any category designated by carriers as restricted (sometimes called “SHAFT”: sex, hate, alcohol, firearms, tobacco).
  • Reverse-engineer, decompile, or attempt to derive source code from the Service; bypass any access controls, rate limits, or security features; or use any automated means to scrape data or impersonate other users.
  • Resell, sublicense, or white-label the Service to third parties without our advance written consent.

We may suspend or terminate your account for material breach of this section without refund of fees already paid. We may also notify mobile carriers, Twilio, or regulators if we have a good-faith belief that you’re violating SMS/voice compliance rules.

Third-Party Services

The Service integrates with third-party providers including telematics platforms (Geotab and others), repair-shop networks (RepairPal-Certified shops and individual preferred shops you connect), SMS and voice infrastructure (Twilio), and AI models (Anthropic for SMS conversation, Vapi for voice). When you connect or use these integrations, the third party’s own terms and privacy practices apply to your interaction with that party.

We’re not responsible for the acts, omissions, content, or pricing of third-party providers, including repair shops booked via Odo. Service appointments, quotes, work performed, and warranties are between you and the shop. We don’t warrant any specific outcome from a booking.

We may earn a referral fee on appointments booked at RepairPal-Certified shops via Odo’s voice AI. This fee does not change the price you pay. See our RepairPal integration page for full disclosure.

Intellectual Property

We own all rights, title, and interest in the Service, including the Odomotive platform, the Odo AI agent, our software, documentation, designs, and the “Odomotive” name and logo. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your fleet’s internal business purposes during your subscription term.

We may use aggregated, de-identified data derived from Customer Data to improve the Service, train internal models, and produce industry benchmarks — provided we never identify your fleet, your vehicles, your users, or any specific shop in any publication or product derived from such data. Customer Data itself remains yours.

Termination

You may terminate your subscription at any time from the dashboard or by emailing justin@odomotive.com. We may suspend or terminate your access for material breach, fraud, non-payment, or as required by law, after reasonable notice except in cases of urgent risk to the Service or other users.

On termination, we’ll revoke your telematics tokens, stop polling, and retain your fleet’s historical data for 30 days for one-time export or reconnection, then permanently delete it from primary storage. Backups age out within 90 days. See our Security page for the full retention picture.

Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or trade usage.

Odomotive surfaces maintenance recommendations based on fault codes, odometer readings, engine hours, battery voltage, and engine coolant temperature reported by your telematics provider. It is not a substitute for professional mechanical inspection. Physical-wear items such as brake pads, tire tread, fluid levels, and suspension wear require human inspection and aren’t detectable by the data we read. You remain responsible for ensuring your vehicles are safe and roadworthy and for complying with all applicable laws including DOT and CDL regulations.

We don’t warrant that the Service will be uninterrupted, error-free, secure against every threat, or that any fault code, alert, projection, or shop recommendation will be accurate, timely, complete, or appropriate for your specific circumstances.

Limitation of Liability

To the maximum extent permitted by law, PathMarkr LLC’s aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid us for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100.00).

We are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, missed appointments, vehicle downtime, towing costs, repair costs, or substitute-service costs, even if we’ve been advised of the possibility of such damages.

Some jurisdictions don’t allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions our liability is limited to the smallest amount permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless PathMarkr LLC, its affiliates, officers, employees, and agents from and against any claim, damage, loss, or expense (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service in violation of these Terms or any law; (b) Customer Data you provide; (c) any SMS sent or call placed at your direction in violation of the TCPA, CTIA Messaging Principles, Do-Not-Call rules, or carrier policies; or (d) your fleet’s vehicles, drivers, employees, or contractors.

We’ll promptly notify you of any claim subject to indemnification and reasonably cooperate at your expense. You won’t settle any claim that admits fault on our behalf or imposes any obligation on us without our prior written consent.

Governing Law & Disputes

These Terms are governed by the laws of the State of Tennessee, U.S.A., without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Williamson County, Tennessee, and you and we consent to personal jurisdiction and venue there.

You and we each waive any right to a jury trial and to participate in any class action, collective action, or representative proceeding related to these Terms or the Service.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we’ll post the updated Terms on this page, update the “Effective” date, and notify account owners by email or in the dashboard. Your continued use of the Service after the effective date of the updated Terms is your acceptance of the changes. If you don’t agree to the new Terms, please stop using the Service and cancel your subscription before the effective date.
